1. Services Provided

We provide custom software applications and systems engineering services that are specifically tailored to your needs and specifications. All services are designed, developed, and implemented exclusively for your use. We also act as a channel partner, facilitating access to additional products or services provided by third parties.

2. Non-Refundable Policy

All payments made for custom software applications and systems engineering services are non-refundable. Once the agreement is confirmed or work has commenced, no refunds will be issued, regardless of the outcome.

• Non-refundable Payments: All payments are final and non-refundable once the agreement is confirmed.
• No Refund on Termination: In the event that the agreement is terminated for any reason, you remain responsible for payments due up until that point.

3. User Obligations

By engaging with SoraVantia, you agree to:

• Provide Accurate Information: Ensure that all information you provide to us is complete, accurate, and up to date.
• Maintain Account Security: If applicable, protect any account credentials used to access our services and immediately notify us of any security breaches.
• Prohibited Conduct: You agree not to engage in any activity that may harm our services, violate applicable laws, or infringe upon the intellectual property of others.

4. Payment and Pricing

We provide customized pricing based on the specific requirements of each agreement. A detailed quote will be provided before work begins. Payment may be structured as:

• One-time purchase
• Subscription-based payments
• Pay-per-use fees
• Tiered pricing models
• Bundle pricing
• Or other customized pricing models as applicable to your specific agreement.

5. Intellectual Property

Upon full payment for the services rendered, the intellectual property rights to the custom solutions (software applications, systems) developed will be transferred to you, except for certain technologies, infrastructure, processes, methodologies, and intellectual property retained by SoraVantia. Any third-party software or libraries used in the development will remain subject to their original licensing terms.

6. Subcontracting and Channel Partnerships

You acknowledge and consent that SoraVantia may subcontract certain services to third parties, including channel partners. We ensure that any subcontractors and channel partners engaged to provide services will adhere to the confidentiality and data protection standards required by these Terms and our Privacy Policy.

7. Maintenance and Support Agreement

Unless explicitly outlined in a separate agreement, no Maintenance and Support Agreement are included by default in the use of our services. Any Maintenance and Support Agreement for custom software development or systems engineering will be defined separately and agreed upon in writing by both parties.

8. Marketing Communications

By engaging with our services, you agree to receive marketing communications from SoraVantia regarding new products, services, special offers, and updates. If you wish to opt out of receiving marketing communications, you can send a message with the subject line "Opt-Out" through our social media channels.

9. Disclaimers and Limitation of Liability

Our services are provided "as is," and we disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose. In no event shall SoraVantia be liable for any indirect, special, incidental, or consequential damages arising from the use of our services.

10. Termination

We reserve the right to terminate or suspend your access to our services at our discretion if you violate these Terms or fail to make timely payments. Upon termination, all outstanding payments are due immediately.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Japan. Any disputes will be resolved under Japanese jurisdiction, and you agree to submit to the exclusive jurisdiction of the Japanese courts.

12. Modifications

We may update these Terms from time to time. Any changes will be posted on this page, and the "Last Updated" date will be revised. Your continued use of our services after changes are posted constitutes your acceptance of the new Terms.
